Board and Legal Affairs Manager (Maternity cover)(m/f/d)

IN SHORT

As Board & Legal Affairs Manager (m/f/d), you will be responsible for providing organizational and content-related support to the management and the supervisory board in all governance matters. Your main tasks will include preparing and coordinating meetings of the decision-making bodies, which you will carry out in collaboration with your colleague, with a focus on advising on legal and strategic issues, ensuring the legal compliance of corporate decisions, and implementing corporate governance standards. At the same time, you will contribute to the development of the new Corporate Office & Legal Operations function, particularly with regard to the introduction of modern and IT-supported work processes. 

This is a fixed-term position for a period of 10+ months.

WHAT WILL YOU DO

  • Schedule and organize meetings for the Management Council and Supervisory Board, prepare and distribute meeting agendas and materials, ensure that meeting minutes are accurately recorded in both English and German. 
  • Track action items and ensure follow-up on key decisions and recommendations made during meetings, advise the Management Council and operational functions on strategic direction, legal, and regulatory issues. 
  • Ensure the compliance of corporate strategies and decisions. Development, review, and maintenance of governance policies and procedures to ensure compliance with applicable regulations and best practices. 
  • Conduct risk assessments related to corporate governance matters and advise the management team on proactive measures. 
  • Facilitate communication and information flow between decision-making bodies and the organisation, ensuring transparency and clarity in decision-making. Conducting training on corporate governance topics. 
  • Lead and manage cross-functional projects related to board activities 
  • Project work in the area of Legal Operations, particularly in the fields of contract management, matter and legal entity management, as well as the implementation of modern workflows. 

WHAT WILL YOU BRING

  • Completed studies in law (e.g. fully qualified lawyer, business lawyer) or business administration, or a comparable field of study
  • Proven experience in board affairs, corporate governance, or executive administration
  • Strong organizational, communication, and interpersonal skills. 
  • Legal knowledge in the areas of corporate governance, corporate law, and supervisory law
  • Deep understanding of corporate governance structures and the requirements for the supervisory board and executive management
  • Attention to detail and ability to manage multiple tasks and stakeholders effectively
  • Ability to maintain confidentiality and exercise discretion in dealing with sensitive matters
  • Fluent in German and English, both written and spoken
